What happens if a business license expires, and what to do today

When a business license expires, three things usually follow, in this order. First, the renewal gets more expensive: a late or delinquent fee is added the day after the printed date (Washington, California's cosmetology board) or a penalty plus monthly interest starts (Delaware, Texas). Second, if the license is the permission to do the work, the work you do while it is expired counts as unlicensed, and the agency can discipline you for it. Third, after a cutoff, which runs from 45 days to five years depending on the agency, you can no longer renew at all: the license is cancelled or the entity forfeited, and you reapply or reinstate from scratch. Renew today if the portal still lets you, and read your agency's own rule in the table below. The examples are American; Australians spell it licence, and the address keeps that spelling so both can find this page.

The three consequences, with the agencies' own rules

Each row below was read on the agency's page on the day this was written and links to it. Your license is governed by its own agency, so use these to know what to look for, then find the matching sentence on your agency's site.

License or filingDay after expiryWhile it stays expiredThe cutoff
Washington state business license (Department of Revenue)"Renewals are due by the expiration date. Renewals received after the expiration date are charged a late penalty fee" (WA DOR FAQs). The reminder arrives one month before expiry; the due date stands whether or not it reaches you.The late penalty applies to the renewal. The FAQ page does not describe a further step, so ask the Business Licensing Service (360-705-6705 on the same page) if yours has lapsed for long. Not stated on the FAQ page; ask.
California barber, cosmetologist or salon establishment license (Board of Barbering and Cosmetology)The status changes from Current to Delinquent, "license holder has not complied with renewal requirements", and a delinquent fee is added: $25 on a $50 individual renewal, $20 on a $40 establishment renewal (Board of Barbering and Cosmetology). The license stays Delinquent until the renewal and delinquent fee are paid."Canceled – license holder did not comply with renewal requirements for 5 years" (same page).
California contractor license (Contractors State License Board)"You will be required to pay the delinquent renewal fee." A written petition for retroactive renewal is possible only if "the CSLB must receive a written petition within 90 days of the expiration date", and a granted petition still carries the delinquent fee (CSLB, Failing to renew your license)."Any work performed while the license is expired is considered to be unlicensed" and "disciplinary action can be taken against you" (same page)."You may renew an expired license any time within five years after its expiration." After that, "you will be required to reapply by completing an Application for Original License" (same page).
Delaware corporation annual report and franchise tax (Division of Corporations)Due on or before March 1. "Failure to file the report and pay the required franchise taxes will result in a penalty of $200.00 plus 1.5% interest per month on tax and penalty" (Delaware Division of Corporations). The interest compounds monthly on tax and penalty until paid. Not on the page read; the Division's help center covers void and revived status.
Texas franchise tax report (Comptroller of Public Accounts)"A $50 penalty is assessed on each report filed after the due date", plus a percentage penalty on tax paid late (Texas Comptroller, Franchise tax).A Notice of Intent to Forfeit Right to Transact Business (Form 05-211) follows. The Comptroller must "give at least 45 days, beginning after the notice of pending forfeiture is mailed", and "any franchise tax deficiencies must be cured during that period" (Texas Comptroller, Franchise tax account status). After forfeiture the entity "will be denied the right to sue or defend itself in a Texas court" and "each director or officer will be liable for the debt of the entity" (same page). Reinstatement is possible "at any time (so long as the entity would otherwise continue to exist)" by filing the missing reports, paying tax, penalties and interest, and filing an application on SOSDirect "accompanied by a tax clearance letter (form 05-377)" (Texas Secretary of State, Terminations and reinstatements FAQs).
California Statement of Information (Secretary of State)A missed statutory filing "may result in penalties being assessed by the Franchise Tax Board" (California Secretary of State).Penalties accrue with the Franchise Tax Board."Suspension or forfeiture" (same page).
EPA lead-safe (RRP) firm certificationCertifications "are good for five years"; a re-certification application is due at least 90 days before expiry (EPA).A firm whose certification has lapsed may not conduct renovations until EPA approves a new application (same page). The firm "can submit a new application for certification, along with the correct amount of fees, at any time" (same page).

Can you keep working? A rule to apply in the first ten minutes

Sort your expired item into one of three kinds, because the right first move differs:

If a renewal notice, a notice of intent to forfeit, or any letter with a deadline has arrived, that letter's date overrides everything above: it is the agency telling you how long you have.

What to do today, in order

  1. Find the document and the number. The license certificate, the policy, or the last filing confirmation. The expiry date printed on it is the one the agency works from.
  2. Check the status on the agency's portal, not from memory. Boards publish the status (Current, Delinquent, Canceled); comptrollers publish account status. Save a screenshot with today's date.
  3. Renew in the portal if it still lets you. Pay the delinquent or late fee with the renewal; it cannot be waived by asking, as the CSLB says even of a granted petition.
  4. If the portal refuses the renewal, you are past the cutoff. Look for the words reapply, reinstate, original application or tax clearance letter on the agency's page, and start that process the same day. Keep every receipt.
  5. If a petition or cure window exists, calendar its end date now. The CSLB's 90 days and Texas's 45 days are counted from the expiry date or the mailing of the notice, not from the day you noticed.
  6. Record the lapse in the table below and attach the new certificate when it arrives. The record is what you show a client, an insurer or an auditor who asks about the gap.
  7. Fix the cause. Most lapses have one of four causes: no reminder set, the reminder on a phone that was replaced, the agency's notice sent to an old address, or the person who renewed last time has left. Change the one that applies before you close the file.

One row per expired item. It gives you the dates you will be asked for later and makes the cause of the lapse visible. The values shown are placeholders.

Print it with the browser's print command; the header and footer are hidden on paper. Keep it with the renewal tracker, which is the list that stops the next lapse.

Stopping the next one

The agencies above send one reminder, late in the cycle, or none. So the fix is your own list with three reminder dates per item: when the renewal window opens, 30 days before expiry, and 7 days before. The business license renewal tracker page gives the template and the reasoning; the small business compliance calendar covers the federal filing dates that are not licenses at all. If you would rather hold the list on your phone, Obligio stores each obligation with its date and sends reminders 30, 14, 7 and 1 days before it, shows an item in red as overdue once the date has passed, and can attach the certificate as evidence on the Plus plan (features). It does not know your agency's rules, renew anything for you, or give legal advice; the table above is yours to keep either way.

Questions

Is there a grace period after a business license expires?

Only if the agency's own page says so, and the pages read for this one describe windows rather than grace periods. The CSLB accepts a written petition for retroactive renewal within 90 days of expiry, but the delinquent fee is still payable and work done in the gap is still unlicensed. Texas gives at least 45 days after a notice of pending forfeiture is mailed. Washington charges a late penalty on any renewal received after the expiration date. Treat a window as a deadline, not a cushion.

Can I keep operating while my business license is expired?

If the license is the permission to do the work, assume no: the CSLB says work performed while expired is unlicensed, and the EPA says a lapsed lead-safe firm may not conduct renovations until re-approved. If it is a registration or tax filing, the business usually keeps trading while penalties grow, and the risk is forfeiture or suspension once the notice period passes. Read your own agency's wording before deciding.

Does renewing late or reinstating erase the gap?

Not always. Texas lets a forfeited entity reinstate at any time with the missing reports, payment and a tax clearance letter (form 05-377), but the Comptroller's page says directors and officers are liable for the entity's debt during forfeiture. The CSLB lets you renew within five years, but the work in between was unlicensed. Keep the dates in the lapse record so you can answer the question later.

I never received a renewal reminder. Does that matter?

Not to the agency. Washington sends a courtesy reminder one month before expiry and says the renewal is due by the expiration date whether or not the notice arrives; Oregon's Secretary of State sends its notice about 45 days ahead (Oregon SOS). The date on the document is the obligation. Fix the address on file when you renew, and keep your own reminders.
